These Terms of Service (“Terms”) govern the use of the software and related services provided by
Kelevo Software Private Limited (“Kelevo”). By accessing or using the services, the user
(“User,” “Fleet Owner,” or “you”) agrees to comply with these Terms, forming a binding contract
between the User and Kelevo.

If representing a company, authority to bind the company to these Terms is confirmed.
Non-acceptance of these Terms implies no access to the services. These Terms override any prior
agreements. Kelevo reserves the right to modify, suspend, or terminate the services at any time.

Kelevo and the User may be referred to individually as a “Party” and collectively as the “Parties.”

1. Definitions

  • “User” refers to any person or legal entity that accesses or uses Kelevo’s services.
  • “Services” refers to the software applications, platforms, and related services provided by Kelevo.
  • “Fleet Owner” refers to any individual or entity managing fleet operations using Kelevo’s services.
  • “Duty” refers to any task or assignment generated manually or automatically through the services.

2. Eligibility Requirements

  • The services are intended for individuals aged 18 and above. By using the services, it is represented that the User is over 18 years of age and has the legal capacity to enter into this agreement.
  • If using the services on behalf of an organization, the User affirms they have the authority to bind the organization to these Terms.
  • Users are responsible for ensuring compliance with all applicable local, national, and international laws, including data protection, privacy, and business operation laws.

3. Use of Services

3.1 License Grant

Kelevo grants a non-exclusive, non-transferable, and revocable license to use the services solely for internal business purposes related to fleet management and operational activities.

3.2 Prohibited Uses

  • Resell, redistribute, or sub-license the services without prior written consent.
  • Use the services for unlawful activities, fraud, or illegal business practices.
  • Interfere with the normal operation, security, or functionality of the services.
  • Engage in activities that may disrupt the services for other users.

3.3 User Responsibilities

  • Ensure the accuracy and legitimacy of any data provided through the services.
  • Maintain the security of devices and networks used to access the services.
  • Use the services in accordance with industry best practices and ethical standards.

4. Data Handling and Privacy

4.1 Data Collection

Kelevo may collect data such as:

  • Company name, contact details, and business-related information.
  • Operational data related to fleet management, including vehicle details and job assignments.

4.2 Data Use

Collected data will be used for:

  • Providing, managing, and improving the services.
  • Personalizing the user experience.
  • Complying with legal obligations.

4.3 Security Measures

While Kelevo employs advanced security protocols, absolute data security cannot be guaranteed. Users should ensure they have adequate internal security measures in place.

4.4 Data Sharing

Kelevo does not sell user data. Data may be shared with trusted third parties for operational purposes, legal compliance, or as part of business transfers.

5. Maintenance and Support

5.1 Maintenance

Kelevo performs regular maintenance to ensure the services run smoothly. Scheduled maintenance may cause temporary disruptions, with prior notice provided where feasible.

5.2 Support Services

  • Support is available via email during business hours (10 AM – 6 PM, Monday to Friday).
  • Kelevo will make reasonable efforts to respond to queries promptly.
  • Critical issues may be prioritized based on their impact on operations.

5.3 Exclusions

Support does not cover:

  • Issues caused by third-party applications or services.
  • User errors, misconfigurations, or unauthorized modifications.

6. Intellectual Property Rights

  • All rights, titles, and interests in the services, including software, trademarks, logos, and content, are owned by Kelevo.
  • The User is granted limited rights to use the services as per these Terms.
  • Any modifications, enhancements, or customizations made to the services are the property of Kelevo.

7. Term and Termination

These Terms are effective from the date of first use of the services and continue until terminated by either Party.

7.2 Termination

  • Either Party may terminate the agreement with written notice.
  • Kelevo may terminate or suspend services immediately in cases of breach, non-payment, or illegal activities.
  • Upon termination, the User must cease all use of the services and destroy any related materials.

The User agrees to defend, indemnify, and hold Kelevo harmless from any claims, damages, or losses arising from:

  • Unauthorized use of the services.
  • Breach of these Terms.
  • Violation of applicable laws or third-party rights.

Kelevo’s liability is limited to the amount paid by the User in the six months preceding the claim. Kelevo is not liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of data, profits, or business opportunities.
  • Any claims arising from force majeure events.
